It ended with a surp1us of $602 mi11ion ($878 mi11ion for 2012/13). Investment returns amounted to $562 mi11ion ($318 million for 2012/13) main1y generated from the University's en1arged investment portfo1io managed by investment managers in accordance with the University's 1aid down investment strategies. With 1ess matching grant avai1ab1e, donations and matching grants were down to $105 mi11ion ($543 mi11ion for 2012113). CONSOLIDATED INCOME AND EXPENDITURE Conso1idated income slightly increased to $4,198 million for the year ($4,191 mi11ion for 2012113) as a resu1t of the favourab1e investment returns, additiona1 earmarked / supp1ementary grants from UGC / Government， and an increase in tuition fee income but offset by the decrease in donations and matching grant income. Conso1idated expenditure for the year increased to $3， 604 million ($3，316 mi11ion for 2012/13) main1y due to additiona1 staffing and other resources for supporting the increased student enrollment popu1ation, the en1arged campus and increased research activities. 1 分部結果 教育贊助委員會(「教賣會」)整筆撥款贊 助之活動 大學繼續為四年新學制營運所需的員工及 設施投放計劃內的額外資源。本年度的 126，000，000元盈餘已轉撥至並保留於一般 及發展儲備內以應未來之需。 持續進修教育活動，研究活動及其他活動 由於累積儲備的投資回報表現理想，本年 度這些營運分部的總盈餘增至204，000，000 元(2012/13年為134，000，000元)。 所得損歡及有輔活動 因部分捐款及配對撥款的跌幅被投資回報 的增幅所抵銷，這個分部錄得272，000 ，000 元盈餘(2012/13年為596 ，000，000元)。若在大 學其他分部中剔除捐款活動分部的營運結 果，綜合營運結果按年的變動將為正 峙，000，000元(2013/1 4年度為330，000 ，000元盈 餘， 2012/13年度為282，000 ，000元盈餘) 而非負276，000，000 元(2013/14 年度為 602，000，000 元盈餘， 2012/13 年度為 878 ，000，000元盈餘)。 SEGMENT RESUL TS University Grants Committee ("UGC") Block Grant-funded Activities The University continued to put in the planned additional resources on staffing and other required facilities for operation of the 4-year undergraduate program. The surplus of $126 million has been transferred to and retained in the Gene1al and Development Reserve for future use. Self-Financing Continuing Professional Education Programs ("CPEP"), Research and Other Activities Primarily due to the favourable investment returns generated from accumulated reserve funds, overall surpluses of these operating segments for the year increased to $204 million ($134 million for 2012/13). Donations and Related Activities This segment recorded a surplus of $272 million ($596 million for 2012/13), as a result of lower donations and matching grant income, partly off-set by an increase in investment returns. Had the operating results of the donation activities segment been removed from the other segments, the year-on-year variance in the consolidated operating result would be a favourable $48 million (surplus of $330 million for 2013/14 vs surplus of $282 million for 2012/l3) instead of an unfavourable $276 million (surplus of $602 million for 20 l3/14 vs surplus of$878 million for 2012/l3). 2 資本支出 已於2014年9月完工的研究及學術大樓會進 一步完善大學之學術及科研設施。其他進 行中的建築項目包括會議中心、新建校內 學生宿舍，以及位於將軍澳的校外合辦學 生宿舍。 於2014年6 月30 日，已批准之建築項目及其 他資本項目的資本承擔達1，333 ，000，000 元: 當中的786，000，000元來自己獲批准但未收 之教資會撥款，19，000，000元來自承諾捐款 ，其餘來自大學現有儲備及遞延收益。 展望 教資會第六期配對撥款計劃完結後，大學 預期來年的籌募活動將面臨考驗。大學將 繼續積極妥善管理其財務狀況，並確保適 當之資源分配以支持大學的策略性措施及 營運計劃。 大學司庫 夏理遜 2014年10 月29 日 CAPITAL EXPENDITURE The Research and Academic Bui1ding completed in September 2014 wi11 further enhance the University's teaching and research faci1ities. Other in-progress construction projects inc1ude the Conference Tower, new on-site student residence and off-campus joint student hostel in Tseung Kwan O. As at 30 June 2014, the total commitments for the approved construction projects and other capital items amounted to 1， 333 million: $786 mi11ion of which wi11 be supported by approved but yet to be received UGC grants, $19 mi11ion by pledged donations and the rest by the University' s reserves and deferred income on hand. OUTLOOK After completion of the 6th Matching Grant Scheme, the University foresees challenges in fund raising activities in the coming year. The University wi11 continue to proactively manage its financial position and ensure adequate resource allocation in supporting the University's strategic initiatives and operation plans. John B. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the consolidated financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosules in the consolidated financial statements. 合財務報表中需作重要假設及估算的 範疇，已於附註23 中披露。 大學之財務報表已另外編制。 1. 2. 14 GENERAL INFORMATION The Hong Kong University of Science and Techno10gy is incorporated under The Hong Kong University of Science and Techno10gy Ordinance (Chapter 1141, Laws of Hong Kong) as a techno10gica1 university dedicated to the advancement of 1earning and scho1arship, with specia1 emphasis on research, postgraduate education, and c10se collaboration with business and industry. The principa1 activities and other particu1ars of the University's subsidiaries are set out in note 22. The University's registered address and principa1 p1ace of operation is C1ear Water Bay, Hong Kong. These consolidated financia1 statements are presented in Hong Kong dollars ("H妞")， which is the Group's presentation currency. These conso1idated financia1 statements have been approved for issue by the Counci1 on 29 October 2014. BASIS OF PREPARATION The consolidated financia1 statements have been prepared in accordance with Hong Kong Financia1 Reporting Standards ("HKFRS") issued by the Hong Kong Institute of Certified Public Accountants ("HKICPA"). The consolidated financia1 statements have been prepared under the historica1 cost convention, as modified by the reva1uation of A vai1ab1e自for-Sa1e Financia1 Assets and Financia1 Assets at Fair Va1ue through Profit or Loss which are carried at fair va1ue. The preparation of consolidated financia1 statements in conformity with HKFRS requires the use of certain critica1 accounting estimates. risk (including foreign currency risk, interest rate risk and price risk), credit risk and liquidity risk. FINANCIAL RISK MANAGEMENT (Cont'd) 19.2 FINANCIAL RISK FACTORS (Cont'd) (a) Market risk Market risk represents the risk that the value of financial assets will decrease as a result of movements in market variables such as foreign currency exchange rates, interest rates and stock prices. The Group is exposed to market risk mainly through the investment funds it holds. The Group's investments comprise equities, debt securities, investment fun品， hedged funds, private investments and fixed deposits. The investment strategy， of the Group is to invest prudently in order to preserve capital and achieve optimal risk diversification while generating a stable return and the required liquidity. The Group employs external investment managers to manage a proportion of its investments, and delegates the Finance Office of the University to manage fixed deposits and some of the fixed income instruments. (i) Foreign currency risk The Group is exposed to foreign currency risks primarily arising from its United States dollars ("USD") denominated investments that are managed by investment managers. As HKD is pegged to the USD, the Group considers the risk from movements in exchange rates between the HKD and USD to be insignificant. Since cu訂閱cy movements tend to h肝ea much smaller impact on portfolio performance in the long run, no hedging for non-USD currency exposure will be arranged under normal circumstances. Such currency exposure management policy is subject to periodic review and hedging may be arranged when situation warrants. (ii) Interest rate risk The Group is exposed to fair value interest rate risk in relation to its fixed deposits. As the fixed deposits usually mature within three to six months, the risk exposure is considered not material. Securities price risk is managed by diversification of investments in different markets, sectors and assets types. At 30 June 2014, if the prices of the respective investments had been 5% higher / lower, with a11 other variables held constant, the Group's surplus for the year ended 30 June 2014 would increase / decrease by approximately $216 million (2013: $143 million). (b) Credit risk The Group's principal financial assets are cash and cash equivalents, bank deposits, accounts receivable， held-to-maturity financial assets, available-for-sale financial assets and financial assets at fair value through profit or loss. The Group's credit risk is primarily attributable to its accounts receivable. The amounts represented in the consolidated balance sheet are net of a110wances for doubtful receivable, estimated by the Group's management based on past experience and their assessment of the current economy. Cash and cash equivalents and bank deposits are placed with counterparties with credit-ratings assigned by international credit-ratings agencies. Held-to-maturity financial assets, financial assets at fair value through profit or loss and available-for-sale financial assets are rated investment gradeor above. The Group has no significant concentration of credit risk, with exposure spread over a number of counterparties. The Group's maximum exposure to credit risk in the event of the counterparties' failure to perform their obligations as at 30 June 2013 and 30 June 2014 in relation to each c1ass of recognised financial assets is the car乃ling amount of those assets as stated in the consolidated balance sheet. (c) Liquidity risk Most of the Group's liabilities are within six months from the respective balance sheet date. It is the Group's objective to maintain sufficient reserves to support the Group's current and future operating expenditure requirements. The Group's overall strategy remains unchanged from prior years. CRITICAL ACCOUNTING ESTIMATES AND JUDGEMENTS 43 In determining the carrying amounts of some assets and liabi1ities, the Group makes assumptions of the effects of uncertain future events on those assets and liabilities at the balance sheet date. These estimates involve assumptions about such items as risk adjustment to cash flows or discount rates used, future changes in salaries and future changes in prices affecting other costs. The Group's estimates and assumptions are based on historical experience and expectations of future events and are reviewed periodically. In addition to assumptions and estimations of 如何re events, judgements are also made during the process of applying the Group's accounting policies. Depreciation of property, plant and eqllipment and amortisation of Computer software The Group determines the estimated useful lives for related depreciation charges for property, plant and equipment and amortisation of computer software. Management wil1 revise the depreciation or amortisation charges where useful lives are different to previously estimated. Valuation of investments The fair values of financial instruments traded in active markets are based on quoted bid prices at the balance sheet date. The fair values of financial instruments that are not traded in an active market are determined using established valuation techniques. The Group uses its judgement to select a variety of methods and make assumptions that are mainly based on market conditions existing at the end of each reporting period. Held-to-maturity financial assets Non-derivative financial assets with fixed or determinable payments and fixed maturity 且re classified as held-to maturity financial assets if the Group has the intention and abi1ity to hold them until maturity. In evaluating whether the requirements to classify a financial asset as held-to maturity are met, management makes significant judgements. Failure in correctly assessing the Group's intention and ability to hold specific investments until maturity may result in reclassification of the whole portfolio as available-for-sale financial assets. Provision for dOllb.φ1 receivables The provisioning policy for bad and doubtful debts of the Group is based on the evaluation of collectability and ageing analysis of the receivables and on management's judgement. Judgement is required in assessing the ultimate realisation of these receivables, based on the current creditworthiness and the past collection history of each debtor. A subsidiary is an entity (inc1uding a structure entity) over which the group has contro1. The group contro1s an entity when the group is exposed to, 0r has rights to, variab1e returns from its invo1vement with the entity and has the abi1ity to affect those returns through its power over the entity. Subsidiaries are consolidated from the date on which contro1 is transferred to the group. They are deconso1idated from the date that contro1 ceases. Where necessary， adjustments are made to the financia1 statements of subsidiaries to bring their accounting po1icies into line with those used by other members of the Group. All significant intercompany transactions and ba1ances within the group are eliminated on consolidation. Interest in an Associate An associate is an entity over which the Group has significant inf1uence and that is neither a subsidiary nor an interest m a joint venture. The results and assets and 1iabi1ities of an associate are incorporated in the conso1idated financia1 statements using the equity method of accounting. Interest in an associate is carried in the conso1idated ba1ance sheet at cost as adjusted by post-acquisition changes in the Group's share of the net 剖sets of the associate, 1ess any impairment 10ss. PRINCIPAL ACCOUNTING POLICIES (Cont'd) 24.4 Interest in a Joint Venture 24.5 46 A joint venture is a contractual arrangement whereby The Group and other parties undertake an economic activity that is subject to joint control, that is when the strategic financial and operating policy decisions relating to the activities require the unanimous consent of the parties sharing contro1. Joint ventures are accounted for using the equity method and are initially recognised at cost and adjusted thereafter to recognize the Group's share of the post-acquisition profits or losses and movements in other comprehensive income. The Group's investments in joint ventures inc1ude goodwil1 identified on acquisition. Upon the acquisition of the ownership interest in a joint venture, any difference between the cost of the joint venture and the Group's share of the net fair value of the joint venture's identifiable assets and liabi1ities is accounted for as goodwil1. When the Group's share of losses in a joint venture equals or exceeds its interests in the joint ventures (which inc1udes any long-term interests that, in substance, form part of the Group's net investment in the joint ventures), the Group does not recognise further losses, unless it has incurred obligations or made payments on behalf of the joint ventures. Unrealised gains on transactions between the Group and its joint venture are eliminated to the extent of the Group's interest in the joint venture. Unrealised losses are also eliminated unless the transaction provides evidence of an impairment of the asset transferred. Accounting policies of the joint venture have been changed where necessary to ensure consistency with the policies adopted by the Group. Property, Plant and Equipment Property, plant and equipment, other than construction in progress, are stated at cost less accumulated depreciation and accumulated impairment losses. Depreciation of proper旬， plant and equipment， other than construction in progress, is calculated using the straight-line method to allocate their costs to the residual values over the estimated useful lives. Full year depreciation is charged for property, plant and equipment in the year when it is ready for use. A provision for impairment of receivables is established when there is objective evidence that the Group will not be able to collect all amounts due according to the original terms of receivables. The amount of the provision is the difference between the asset's carrying amount and the present value of estimated future cash f1ows, discounted at the effective interest rate. Accounts receivable in the consolidated balance sheet are stated net of such provision. Inventories Inventories held for resale in respect of self-financing operations are valued at the lower of cost and net realisable value. Cost is calculated using the weighted average method. 24.10 Cash and cash equivalents Cash and cash equivalents comprise cash on hand and deposits available on demand with an original maturity of three months or less. 24.11 Accounts payable and accruals and deferred income Accounts payable and accruals and deferred income are initially measured at fair value， and are subsequently measured at amortised cost, using the effective interest rate method. 24.12 Provisions 51 Provisions are recognised when the Group has a present obligation as a result of a past event， and it is probable that the Group will be required to settle that obligation. Amounts are then transferred from the Deferred Income Account in the fo11owing manner: (i) in respect of the recurrent block grant: a11 grants, other than those intended for capital expenditure, received in respect of the year are transferred to the consolidated statement of comprehensive income. In the event that the accumulated surpluses from block grants exceeded the maximum limit permitted by UGC, the transfer to the consolidated statement of comprehensive income will be reduced by any amount refundable to the government. (b3) Pledged donations Outstanding pledges are not recognised as income. Where the University does not have the ability to enforce a pledged donation, the donation is recognised when received. (d) Interest income Interest income from a financial asset is accrued on a time basis, by reference to the principal outstanding and at the interest rate applicable, which is the rate that exactly discount the estimated future cash receipts through the expected life of the financial asset to that asset's net carrying amount. (e) Research Contract income Income from contract research, whose outcome can be reliably estimated, is recognised based on the percentage of completion. Where the outC011leof the contract research project cannot be reliably estimated, project income is recognised to the extent of the expenses incurred that are expected to be recoverable until the completion of projects when the uncertainties that prevent reliable estimation of the outcome of the projects no longer exist. The consolidated financial statements are presented in Hong Kong dollars, which is the Group's presentation currency. Foreign currency transactions are translated into the functional currency using the exchange rates prevai1ing at the dates of the transactions. •Assets and liabilities for each balance sheet presented are translated at the closing rate at the date of that balance sheet. •Income and expenditure for each statement of comprehensive income are translated at average exchange rates (unless this average is not a reasonable approximation of the cumulative effect of the rates prevailing on the transaction dates, in which case income and expenses are translated at exchange rates at the dates of the transactions); and all resulting exchange differences are recognised as a separate component of equity. 24.19 Segment Reporting 57 In order to present a clearer picture of the financial results of the Group's operations, segment reporting is presented showing the m司or sources of income for the Group and the expenditure incurred in relation thereto.
